Labor Principles

Employees are most valuable resource. Suppliers are committed to treatingemployees with integrityand respect, and adhere to the followingprinciples:

Discrimination and Harassment

Provide equal employment opportunities to individuals of diverse backgroundsand experiences. Do not discriminate against an employee or applicantbecause of their race, ethnicity, color, gender, sexual orientation, religion, age,national origin, handicap/disability, genetic information, union activities, politicalbeliefs, veteran status or disabled veteran status, marital status, pregnancy status,or any other status that is protected by law in a particular jurisdiction.

Child Labor

Comply with applicable laws in each jurisdiction in which conduct business, and in accordance with International Labor Organization standards, donot employ anyone under the age required by local law.

Forced/Slave Labor

Do not use forced or slave labor.

Working Hours

Commit to provide fair working conditions, with work hours set in compliancewith applicable local laws.

Freedom of Association

Recognize the right of employees to communicate openly with managementregarding working conditions without fear of retaliation or intimidation.

Health & Safety

Suppliers are committed to protecting the health and safety of each employee as overriding priority. We believe that all occupational injuries and illnesses arepreventable, and that there will be no compromise of an individual’s well being inanything you do.

Ensure Freedom from Harassment and Bullying

Create a workplace that is freefrom harassment, bullying, and any other discriminatory conduct, includingjokes, slurs or other offensive remarks that can undermine workplace.Similarly, implicit or explicit threats, intimidation, bullying, and violence will notbe tolerated.

Some actions that may be considered harassment are:

   -Unwelcome or inappropriate comments, jokes, physical contact or gestures
   -exual advances or requests for sexual favors
   -Verbal or physical threats of any kind
   -Displaying or distributing explicit or derogatory pictures or text
   -Making ethnic, religious, age-related or sexual jokes or insults

Support a Safe and Healthy Workplace

The health and safety of employees is the highest priority of your Company. Webelieve that all occupational injuries and illnesses are preventable. Nevercompromise the health or well-being of anyone. Follow all safetylaws, regulations, and policies at all of your locations.Commitment to safety means that each of us needs to be alert to safety riskswhile we work. It also means that supervisors have an overriding responsibility tolead by example and to support safe work practices.A safe and secure work environment also means a workplace free from violence.Threats (whether implicit or explicit), intimidation and violence will not be tolerated.Weapons – even if intended for sporting purposes – are never allowed oncompany property.

Avoid Conflicts of Interest

A conflict of interest exists when a personal interest or activity interferes, or appearsto interfere. We must avoid conflicts of interest and theappearance of conflicts of interest at all times.Examples of potential conflicts of interest include:

   -Making a material investment in a supplier, customer or competitor
   -Accepting personal services or payments from a supplier, customer or competitor
   -A close family member who works for a supplier or customer in a role that mayaffect your decisions
   -Benefiting from opportunities that are discovered through the use of Companyproperty, information or position
   -Receiving a loan or guarantee of an obligation as a result of your position withthe Company
   -Holding public office or involvement in certain charitable organizations

Understand When We Can Give and Receive Gifts and Entertainment

All relationships with suppliers and customers must be based entirely onsound business decisions and fair dealing. You should not accept or provideanything that:

   -Compromises, or appears to compromise, the integrity of the businessrelationship
   -Places you or others in an unsafe environment (e.g., gifts of alcohol or alcohol-relatedactivities)
   -otentially embarrasses or damages your reputation or the reputation of theCompany (e.g., adult entertainment establishments, which are not acceptableunder any circumstances).

Compete Fairly

We all benefit from fair, free and open markets, and work to outperformcompetition fairly and honestly. Fair competition is a matter of company values, and it is also a matter of law. Supplier should compete strictly on the merits of products and services and make noattempts to restrain or limit trade. Specifically:

   -Never discuss prices, pricing strategies, product planning, marketing,or terms of sale with competitors
   -Do not dishonestly represent the products or services of a competitor
   -Do not induce customers to break contracts with competitors unlawfully
   -Collect competitive information through proper public or other lawful channels.
   -Do not use information that was obtained illegally or improperly by others,including through misrepresentation, invasion of property or privacy, or coercion

Respect and Protect the Environment

   -We are committed to actions to restore and preserve the environment
   -We are committed to reducing waste and pollutants, conserving resources, andrecycling materials at every stage of the product life cycle
   -Continue to participate actively in educating the public regardingenvironmental conservation
   -Continue to pursue vigorously the development and implementation oftechnologies for minimizing pollutant emissions

SDAAC witnessed and participated in the growth of the Chinese Automotive Industry. The company was founded in 1989 as Shanghai Automotive Air Conditioning Company. It was the earliest company dedicated to vehicular thermal management in China.
